Terms of Service
1. Agreement to these terms
By using the free composer or the Pro app (the "Service"), you agree to these Terms. If you don't agree, don't use the Service. If you use the Pro app on behalf of an organization, you represent that you're authorized to accept these Terms for it.
2. Who we are & what the Service is
The Service is operated by Philip Terry (operating as "phbeks") ("we", "us"). It has two parts:
- Free composer — an open-source, in-browser tool for structuring prompts in the R-G-C-B-T-S frame. No account required; nothing leaves your device. Licensed MIT (see §8).
- Pro app — a hosted, subscription product adding Agent Orchestra, the Agent Tool Builder, the full Help library, the AI Help assistant (a live, bring-your-own-key chat helpdesk), the Context Pipeline planner, and AI Eval (bring-your-own-key).
3. Eligibility
You must be at least 18 and able to form a binding contract to use the Pro app.
4. Accounts
Pro accounts are managed through Clerk. You're responsible for the activity under your account and for keeping your credentials secure. Tell us promptly if you suspect unauthorized use.
5. Subscriptions, billing & cancellation
- Price. Pro is $9/month or $90/year, billed through Stripe.
- Free trial. New Pro subscriptions include a 7-day free trial. You won't be charged until the trial ends; cancel before then and you won't be billed.
- Renewal. Subscriptions renew automatically (monthly or annually, depending on your plan) until cancelled.
- Cancellation. Cancel anytime from the Stripe customer portal (Account → Manage subscription). Your Pro features remain active through the end of the current billing period.
- Refunds. We don't refund the current billing period. If something we built genuinely broke and you couldn't use what you paid for, email us and we'll make it right.
- Taxes. Sales tax is added at checkout where applicable.
- Price changes. We may change pricing with reasonable advance notice; changes apply to the next billing cycle, never retroactively.
6. Bring-your-own-key (BYOK)
AI Eval and AI Help run against your own Anthropic, OpenAI, Google, xAI, NVIDIA, OpenRouter, or DeepSeek API key.
- Your provider account is yours. You're responsible for your provider account, your usage, and all charges the provider bills you — including any incurred through AI Eval or AI Help.
- We don't resell tokens and set no provider prices. Your prompts are sent directly to the provider you choose under your key and their terms (see the Privacy Policy §3).
- Limits. AI Eval and AI Help are Pro-only — the free tier includes no eval or AI-Help runs. Pro is capped at 200 runs per day, shared across AI Eval and AI Help combined, as a cost-and-abuse guardrail. We may adjust limits to keep the Service healthy.
- No liability for the provider. We're not responsible for a provider's outages, output quality, price changes, or for charges on your provider account.
7. Acceptable use
Don't use the Service to: break the law; infringe others' rights; attempt to breach, overload, or reverse-engineer the Pro app or its security; resell or sublicense the Pro app; or generate content that violates your AI provider's usage policies. We may suspend accounts that do.
8. Intellectual property
- Free composer: open-source under the MIT License — use, modify, and self-host it freely per that license (github.com/deokman420/prompt-composer).
- Pro app: the Pro app's code, design, and content are proprietary to us. These Terms grant you a limited, non-exclusive, non-transferable right to use it while your subscription is active.
- Your content: the prompts, drafts, and orchestras you create are yours. You grant us only the limited rights needed to operate the Service for you (e.g., storing your drafts so you can sync them). We claim no ownership of your content.
9. Third-party services
The Pro app depends on Clerk, Stripe, Supabase, and the AI provider you choose. Your use of those is also subject to their terms. We're not responsible for third-party services' availability or acts.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. The composer helps you structure prompts; we don't guarantee the quality, accuracy, or fitness of any AI model's output, or that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, we won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD $100. This includes, without limitation, charges billed to you by an AI provider.
12. Indemnification
You'll defend and indemnify us against claims arising from your misuse of the Service, your content, or your violation of these Terms or a third party's rights.
13. Termination
You can stop using the Service anytime and delete your account. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, the rights granted to you end; the sections that by their nature should survive (IP, disclaimers, liability, governing law) survive.
14. Governing law & disputes
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Huron County, Ohio, and you consent to that venue.
15. Changes to these terms
We may update these Terms; we'll change the "Last updated" date and, for material changes, give in-app or email notice. Continuing to use the Service after changes take effect means you accept them.
